DEVECTUS Terms and Conditions – Service Agreement & Acceptable Use

The explanations and information in this Terms & Conditions (“T&C”) page are provided for general, high‑level guidance only and do not constitute legal advice. DEVECTUS Pty Ltd (“DEVECTUS”, “we”, “our”, “us”) recommends you obtain independent legal counsel to ensure these terms meet your specific obligations under all applicable laws and regulations, including the Australian Consumer Law (ACL).
2 | Acceptance of These Terms
By accessing or using www.devectus.com.au and any associated sub‑domains, applications or services we provide (collectively, the “Service”), you (“you”, “user”, “customer”) agree to be bound by these T&C and our Privacy Policy, Refund Policy, and any other policies referenced herein or made available by link. If you do not agree, do not use the Service.
3 | Eligibility & Account Registration

You must be at least 18 years old (or the age of majority in your jurisdiction) and have legal capacity to enter into contracts.

When you create an account, you must provide accurate, complete and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
4 | Subscriptions, Trials & Payments

Free trials: Where offered, trials grant time‑limited, no‑cost access solely to evaluate suitability. At trial expiry you may choose a paid plan; otherwise, access will terminate.

Billing: Subscription fees, billing cycles and any applicable taxes are disclosed at the point of purchase. All prices are in Australian dollars (AUD) unless stated otherwise.

Automatic renewal: Paid plans renew automatically for successive terms unless cancelled before the end of the current term.

Refunds: Our Refund Policy governs refund eligibility. Nothing in these T&C limits your rights under the ACL.
5 | Permitted Use & Prohibited Conduct
You agree to use the Service for lawful purposes only and not to:

Copy, reverse‑engineer or create derivative works from any part of the Service;

Upload malicious code, interfere with security‑related features or disrupt servers/networks;

Use the Service to transmit unsolicited or unlawful communications;

Infringe the intellectual‑property rights or privacy of others;

Misrepresent your identity or affiliation with any person or entity.
We reserve the right to suspend or terminate your access if you breach these T&C.
6 | Intellectual Property
All software, source code, algorithms, text, graphics, logos, trademarks and other materials forming part of the Service are owned or licensed by DEVECTUS and are protected under Australian and international IP laws. Except as expressly permitted, no right, title or interest is transferred to you.
7 | Third‑Party Services & Content
Under the DEVECTUS terms and conditions, our Service may integrate with or link to third-party platforms—such as payment gateways, mapping widgets or communication APIs. DEVECTUS terms and conditions clarify that we have no control over, and accept no responsibility for, the availability, accuracy, security or practices of those third-party services. Your use of any external platform is at your own risk and governed exclusively by that provider’s separate terms and policies.
8 | Service Availability & Changes
We continually improve and update our offerings. We may add, remove or modify features, or suspend/stop the Service (in whole or part) at any time with reasonable notice where practicable. We will not be liable for any loss caused by such changes, except to refund prepaid fees for the unused portion of a cancelled paid plan.
9 | Warranties & Disclaimers

Under the DEVECTUS terms and conditions, the Service is supplied on an “as-is” and “as-available” basis, without any warranty—express, implied or statutory—including, but not limited to, warranties of merchantability, fitness for a particular purpose, or non-infringement. DEVECTUS terms and conditions expressly disclaim any guarantee of uninterrupted, error-free or fully secure operation, and we make no commitment that defects will be corrected.

Nothing in these terms limits or excludes any consumer guarantees that cannot be modified under the Australian Consumer Law (ACL). Where those statutory guarantees apply, our liability is limited to the maximum extent the law permits.
10 | Limitation of Liability
To the maximum extent permitted by law, DEVECTUS, its directors, employees and affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages (including lost profits, data or business opportunities) arising out of or relating to the Service, even if advised of the possibility. Where liability cannot be excluded, it is limited to (i) re‑supply of the services, or (ii) the cost of such re‑supply.
11 | Indemnity
Under the DEVECTUS terms and conditions, you agree to indemnify, defend and hold harmless DEVECTUS—together with its subsidiaries, directors, officers, employees and agents—from and against any claim, loss, damage, liability, cost or expense (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the Service; (b) any breach of the DEVECTUS terms and conditions; or (c) your violation of any law or the rights of a third party.
12 | Termination
Under the DEVECTUS terms and conditions, we may suspend or terminate your access to the Service at any time, with or without notice, if we determine that you have breached these DEVECTUS terms and conditions or any applicable law. Upon termination, all rights previously granted to you will cease immediately; however, any clauses intended to survive termination—such as intellectual-property provisions and limitations of liability—will remain fully in force.
13 | Changes to These T&C
We may update these T&C from time to time. Material changes will be communicated via email or a notice on our website. Continued use of the Service after the effective date of an update constitutes acceptance of the amended terms.
14 | Governing Law & Jurisdiction
These T&C are governed by the laws of Victoria, Australia. You irrevocably submit to the exclusive jurisdiction of the courts of Victoria for all disputes arising out of or relating to the Service or these T&C.
